Terms of Service

1. Scope

These Terms of Service ("Terms") govern your use of the Noirdoc service ("Service"), provided by Nextaim GmbH, Steinerstraße 15, 81369 München, Germany ("we", "us", "Provider"). The Service includes the Noirdoc pseudonymization proxy as a Managed Service and the self-hosted software. By using the Service, you agree to these Terms.

2. Service Description

Noirdoc is a reverse proxy for AI APIs that automatically detects and pseudonymizes personal and business-critical data in API requests. The Service is offered in two variants:

  • Managed Service — Operated by Nextaim GmbH on servers in Germany.
  • Self-Hosted — Software provided for installation on your own infrastructure.

3. Access and API Keys

Access to the Service is provided after registration and approval by Nextaim GmbH. API keys must be kept confidential and must not be shared with third parties. You are responsible for all activities that occur under your credentials.

4. Pricing

Current pricing is based on the applicable price list. Nextaim GmbH reserves the right to change prices with reasonable advance notice. During a trial period, the Service may be provided free of charge.

5. Pseudonymization Results

The detection of personal and business-critical data is performed automatically using rule-based and AI-assisted methods. Complete detection of all sensitive data cannot be guaranteed. The customer is responsible for reviewing the results before sharing or publishing pseudonymized content.

6. Availability

Nextaim GmbH strives for high availability of the Managed Service. A service level agreement (SLA) can be arranged separately. Scheduled maintenance will be announced with reasonable advance notice.

7. Restrictions

The customer may not:

  • Use the Service for any unlawful purpose
  • Decompile, reverse engineer, or disassemble the software
  • Redistribute, sublicense, or resell the software without consent
  • Share API keys with third parties
  • Use the Service in a way that places excessive load on the infrastructure
  • Remove or alter any proprietary notices or labels

8. Intellectual Property

All rights in the software, design, and documentation are owned by Nextaim GmbH and protected by copyright and intellectual property laws. These Terms do not grant you any ownership rights in the software.

9. Warranty and Liability

The Service is provided "as is." Nextaim GmbH does not warrant that the Service will be error-free, uninterrupted, or fit for a particular purpose.

The liability of Nextaim GmbH is limited to intent and gross negligence to the extent permitted by law. In particular, Nextaim GmbH is not liable for damages resulting from incomplete pseudonymization of data. This does not apply to liability for injury to life, body, or health.

10. Term and Termination

The agreement may be terminated by either party with 30 days' notice at the end of the month. Nextaim GmbH may suspend access immediately in case of a violation of these Terms. Upon termination, the customer must cease use of the Service and delete all copies of the software.

11. Data Protection

Our Privacy Policy applies to the processing of personal data. For the Managed Service, a Data Processing Agreement (DPA) in accordance with Art. 28 GDPR will be concluded.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany. The exclusive jurisdiction for all disputes arising from or in connection with these Terms is Munich, Germany.

13. Final Provisions

Should any provision of these Terms be invalid, the remaining provisions shall remain in effect. Changes to these Terms will be communicated with reasonable advance notice. Continued use of the Service after changes constitutes acceptance of the updated Terms.
